1. Acceptance of Terms

By accessing and using the services provided by RUSTY DATA LLC ("Company," "we," "us," or "our"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by these terms, please do not use our services.

2. Description of Services

RUSTY DATA LLC provides data engineering, analytics, IT consulting, and related technology services. The specific services to be provided will be outlined in a separate Statement of Work (SOW) or service agreement between the Company and the client.

3. Client Responsibilities

Clients agree to:

• Provide accurate and complete information necessary for service delivery
• Grant appropriate access to systems and data as needed
• Respond to requests for information in a timely manner
• Maintain confidentiality of any credentials or access provided
• Comply with all applicable laws and regulations

4. Intellectual Property

Unless otherwise specified in a separate agreement, all intellectual property rights in deliverables created specifically for a client will transfer to the client upon full payment. The Company retains rights to any pre-existing intellectual property, tools, methodologies, and general knowledge.

5. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the course of the engagement. This obligation survives the termination of the service relationship.

6. Payment Terms

Payment terms will be specified in the applicable Statement of Work or service agreement. Unless otherwise agreed, invoices are due within 30 days of receipt. Late payments may be subject to interest charges.

7. Limitation of Liability

To the maximum extent permitted by law, RUSTY DATA LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly.

8. Indemnification

Client agrees to indemnify, defend, and hold harmless RUSTY DATA LLC and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from the client's use of the services or violation of these terms.

9. Termination

Either party may terminate services with written notice as specified in the applicable service agreement. Upon termination, the client is responsible for payment of all services rendered up to the termination date.

10. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.
